Terms of Service

1. Acceptance of Terms

By accessing or using the Vanta Sports platform, mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

2. Description of Services

Vanta Sports provides a platform for sports clubs, coaches, players, and guardians to manage team operations, track attendance, process payments, communicate, and monitor player development. Our Services include web applications, iOS applications, and associated features.

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. User Types and Roles

Our platform supports different user types with varying permissions:

• Organization Administrators: Manage club settings, members, and billing
• Coaches/Staff: Manage teams, events, and player information
• Guardians/Parents: Manage their children's participation and payments
• Players: Access their personal data and practice tracking features

5. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our Services
• Use the Services for any fraudulent or deceptive purpose
• Collect or harvest user information without consent

6. Payments and Billing

6.1 Platform Role

Vanta Sports operates as a payment facilitator and marketplace. We connect sports organisations, coaches, and parents/guardians through our platform and enable payment collection via our payment partner, Stripe. Vanta Sports is not a party to the transaction between the organisation/coach and the parent/guardian.

6.2 Parent/Guardian Payments

Membership fees, match fees, and other charges set by your organisation are processed securely via Stripe. By making payments, you agree to:

• Pay all fees as described at the time of purchase
• Provide valid payment information
• Authorise Stripe to process your payment on behalf of the organisation

6.3 Coach and Organisation Payment Collection (Stripe Connect)

Coaches and organisation administrators may set up payment collection through Stripe Connect. By enabling payment collection, you agree to:

• Complete Stripe's identity verification (Know Your Customer) process
• Agree to Stripe's Connected Account Agreement
• Accept that a platform service fee will be deducted from each transaction (see Section 6.4)
• Accept that you are the merchant of record for payments collected through your connected account
• Handle refund requests and payment disputes relating to payments you have collected

6.4 Platform Fees

Vanta Sports charges a platform service fee on payments processed through Stripe Connect. The standard fee is 2.9% + 30p per transaction, unless a different rate has been agreed with your organisation. This fee is automatically deducted from each payment before it reaches your connected account. Standard Stripe processing fees apply in addition to the platform fee.

6.5 Refunds and Disputes

Refund policies are determined by each organisation using our platform. For payments made via Stripe Connect, the coach or organisation that collected the payment is responsible for handling refund requests and chargebacks. Vanta Sports is not liable for disputes between organisations and their members regarding payments.

6.6 Payouts

Payouts to connected accounts are managed by Stripe according to their standard payout schedule. Vanta Sports does not control payout timing. If your account is suspended or terminated, any pending payouts will be handled in accordance with Stripe's terms.

7. Intellectual Property

The Services and all content, features, and functionality are owned by Vanta Sports and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

8. User Content

You retain ownership of content you submit to our Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content for the purpose of providing our Services.

9. Privacy

Your use of our Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Vanta Sports shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
